Why it matters
The agreement turns a handshake into a record. It should name the exact domain, the price and how and when payment and transfer happen. It should also say the seller owns the domain with no liens or disputes, and it should say who pays fees. For large deals, add terms on confidentiality and what happens if a transfer fails. Many brokers and marketplaces supply a standard form, as Sedo does on request. A common mistake is relying on email chains alone. Also do not forget a trademark clause if the name could draw brand conflicts.
